4.2.1 Kin Yat shall use only materials and components that have been approved by iRobot for the Manufacturing Services in accordance with the Specifications that include any specifications, engineering changes or amendments thereto. Kin Yat shall be responsible for collecting, retaining and making readily available for inspection by iRobot or its designee any documentation indicating that all of its third party suppliers are in compliance with the applicable Material Declaration Requirements.

4.2.2 Kin Yat will monitor and report to iRobot each month the percent of Orders for purchase that are delivered on-time. This is based on iRobot’s definition of "on-time" which entails shipping the materials, parts and products ordered by iRobot to be delivered within the Lead Time, and any shipping dates that are required as specified in the applicable specifications for the product. Kin Yat shall also maintain the records and documentation of all Supplier Quality Assurance activities, evaluations and tests.
